These terms apply when you use Ketchup. They cover what you can expect from us, what we
expect from you, and the rules for what you post. We've written them in plain English.
By creating an account or using the app, you agree to them.

Section 01
Your licence to use Ketchup.
We grant you a personal, non-exclusive, non-transferable, revocable licence to use
Ketchup on devices you own or control, for your own personal, non-commercial use.
You may not:
Copy, modify, reverse-engineer, or create derivative works from the app, except where that right cannot lawfully be restricted.
Sell, rent, sublicense, or otherwise transfer your access to anyone else.
Use automated systems to scrape, harvest, or bulk-collect data from the service.
Interfere with the service's operation or attempt to access accounts or data that are not yours.
Ketchup, its design, and its underlying software remain the property of Spencer Street
Limited. These terms do not transfer any ownership to you.
Section 02
Your account.
Minimum age — you must be at least 16 years old to use Ketchup.
Accurate information — register with a name and email address that are genuinely yours, and keep them up to date.
Your responsibility — you are responsible for what happens under your account, including keeping your sign-in secure. Tell us promptly if you believe someone else has gained access.
One person, one account — accounts are personal. Do not share yours or let someone else use it.
You can leave whenever you like.
Delete your account at any time in Settings → Delete Account. What that removes is described in our privacy policy.
Section 03
Your content.
Ketchup lets you post events, comments, messages, and photos. We call all of that
your content.
You keep ownership
Your content stays yours. We claim no ownership of it.
The permission you give us
To run the service, we need your permission to handle your content. You grant Spencer
Street Limited a worldwide, non-exclusive, royalty-free licence to host, store, copy,
and display your content, solely for the purpose of operating and improving Ketchup.
This licence exists so that we can show your event to the friends you invited and keep
your photos available on your device and theirs. It ends when you delete the content or
your account, except for copies already shared with other users and copies held briefly
in encrypted backups.
What you promise
You have the right to post what you post.
Your content does not infringe anyone else's rights, including copyright and privacy.
Your content follows the community rules below.
What we can do
We may remove content that breaks these terms or the community rules, and we may
suspend or terminate accounts that do so repeatedly or seriously. Where it is
reasonable to do so, we will tell you why.
Section 04
Community rules.
Ketchup is for organising real plans with people you know. These rules apply to
everything you post — events, comments, messages, photos, and your profile.
We have zero tolerance for objectionable content and abusive behaviour.
Content that breaches these rules is removed, and accounts that post it lose access.
Do not post:
Spam or scams — unsolicited promotion, deceptive offers, phishing, or attempts to defraud people.
Harassment or bullying — targeting someone with unwanted, intimidating, or demeaning behaviour.
Hate speech — attacking or demeaning people on the basis of race, ethnicity, national origin, religion, disability, disease, age, sex, gender identity, or sexual orientation.
Violence or threats — threatening, inciting, or glorifying violence against anyone.
Sexual content — pornographic or sexually explicit material. Any sexual content involving minors will be removed and reported to the relevant authorities.
False information — content you know to be untrue and that is likely to mislead or cause harm.
Impersonation — pretending to be another person, or misrepresenting your affiliation with a person or organisation.
Also do not post anything unlawful, or anything that promotes illegal activity.
Section 05
Reporting and enforcement.
Reporting
Every event, comment, message, and profile in Ketchup can be reported from within the
app. Choose Report, pick a reason, and add any detail that helps. You
can also report content to us at
hello@spencer.st.
Blocking
You can block anyone from their profile. Blocking stops you seeing their content and
stops them contacting you through the app.
What happens next
We review reports and act on those that breach these terms. Depending on what we find,
we may remove the content, issue a warning, restrict an account's ability to post, or
suspend or terminate the account. Serious cases, including credible threats and
material involving minors, may be referred to law enforcement.

Section 06
Availability and changes.
We aim to keep Ketchup running, but we do not promise it will always be available or
uninterrupted. We may add, change, or remove features, and we may suspend the service
for maintenance.
We may update these terms from time to time. If we make material changes, we will
notify you in the app or by email before they take effect. Continuing to use Ketchup
after that means you accept the updated terms.
Section 07
Disclaimers and liability.
Ketchup is provided “as is” and “as available”. To
the fullest extent permitted by law, we disclaim all warranties, whether express or
implied, including fitness for a particular purpose and non-infringement.
Ketchup helps people arrange to meet. We do not vet users, and we are not responsible
for anyone's conduct, online or in person, or for what happens at an event arranged
through the app. Use your judgement when meeting people.
To the fullest extent permitted by law, Spencer Street Limited is not liable for
indirect, incidental, special, or consequential losses, or for lost profits, data, or
goodwill, arising from your use of Ketchup.
Your statutory rights are unaffected.
Nothing in these terms excludes liability that cannot lawfully be excluded, including
for death or personal injury caused by negligence, or for fraud. If you are a
consumer in the European Union or the United Kingdom, you keep all mandatory consumer
rights under the law of your country, and nothing here limits them.
Section 08
Ending these terms.
You can end these terms at any time by deleting your account. We may suspend or
terminate your access if you breach these terms, or if we are required to by law.
Sections that by their nature should survive — content licences for material already
shared, disclaimers, limitation of liability, and governing law — continue to apply
after your account ends.
Section 09
Governing law.
These terms are governed by the laws of New Zealand, and the New Zealand courts have
non-exclusive jurisdiction over any dispute.
If you are a consumer resident in the European Union or the United Kingdom, this does
not deprive you of the protection of the mandatory laws of your country of residence,
and you may bring proceedings in your local courts.
